I Denomination - Object - Length - Head office
Article
It is written within the framework
of the Monegasque law #
Article
The purpose of this association is to research, collect, draft and exchange or communicate in a non-lucrative professional manner all information having links or connections with the Principaute de Monaco or the Kingdom of Belgium.
It is equally for the purpose as an information exchange platform, to act as a liason between journalists and lay-journalists (non-journalists)
It can also be a useful tool to its members with the exclusion of (to ) all diplomatic missions within the scope of traditional diplomatic representation.
Article
The headquarters is established (agreed) by the decision of the Administrative Council in Monaco and can not be transferred outside of Monegasque territory.

II Conditions of admission, resignation or exclusion of the shareholders
Article
This association comprises four types of members :
1. The active members are those who collect information and inform the public using the journalistic method while respecting the morals of the association. All active members and certain other MBCI executives will be granted press cards by MBCI.
2. Honorary members are those who share the beliefs of the association and assist by their own network and personal knowledge.
3. The members are those who request , receive with priority and then diffuse information without alteration unless information are diffused without linking the diffusion to MBCI.
4. Benefactor members are those donate financially to MBCI.
Article
Applications for membership must be addressed to either the President or to the Secretary General who by their judgements will determine their honorability, creditability, and their agreement to the MBCI status. Membership will be granted to the Administrative Council during the annual general assembly.
Article
Memberships will be forfeited upon the following the conditions :
Expulsed members have the right to appeal their expulsion to the General Assembly to have their expulsion annulled after full agreement of the administrators.
III Administration of the association
Article
The association’s administration is composed of an Administrative Council holding full power. The council is comprised of at least two and not more than ten members, all of legal age, and holding full civil rights. The President and the majority of the Administrative Council must be domiciled in Monaco or be of Monegasque nationality.

The members of the Administrative Council are elected for a term of one year by the members during the Annual General Assembly. Absolute majority is required for the first round and relative majority for the second round. In case of a draw the members with seniority will have precedence following that, members of advanced age will be chosen. The Administrative Council reelected on an annual basis.

In the event that an administrative post becomes vacant, the Council shall temporarily assume the duties until the following General Assembly wherein a suitable candidate will be elected.
Article
The Administrative Council chooses a lobby composed of administrators to perform the following functions:
a) a President who has the responsibility of :
- representing the association for all civil and legal responsibilities with the permission of the Administrative Council
- organizing the expenses and ensuring funding
- cosigning for all expenses
- executing the decisions taken by the Administrative Council
- acting as presiding member over the Administrative Council and Annual General Assembly
- replacing any unavailable member in case of absence
b) a Vice-President who possesses sufficient competence to replace the President in case of absence.
c) a Secretary General who assumes responsibility for all internal administrative duties
d) a Management Assistant to aid with organizational duties and with the management of the association and its external relations
e) a Treasurer to document the expenses and revenues of the association as well as to supervise the collection of all fees associated with the set up of the association.
All expenses of the members while in the course of duty for the association will not be guaranteed to be reimbursed in their totality. In no case will an overdraft or the borrowing of monies in the name of the association be tolerated without prior consent with the exception of an exceptional overdraft independent of the Association
Article
The Administrative Council can delegate its powers to those who it judges to be suitable to one or more of its members, by special written mandate for one or numerous determined objectives.
Article
The Administrative Council shall meet upon the summons of its President whenever the Association requires.
The President is held to summon one quarter of its members
In order to validate its deliberation the presence of at least one half of its members must be present
Absent members can, by means of special written mandate, be represented at Administrative Council meetings by a present member.
IV Association of the General Assembly
Article
The General Assembly, which represents the supreme power of the association, is reelected on an annual basis. Meetings are held at least once annually after the summons of the President who is held to congregate the Administrative Council or at least two-thirds of the associations members.
The President summons the association’s members at least eight days prior to the date of the General Assembly. The order of the day is established by the Administrative Council. Proposals and demands must be addressed to the President by at least three days prior to the General Assembly reunion in order to be listed in the order of the day of the General Assembly .

The Assembly General is presided over by the President of the Administrative Council
If it is decided by the Administrative Council, the General Assembly can be presided over by the senior doyen assisted by two chosen scrutinizers.
The General Assembly chooses the place of meeting for the Administrative Council
Article
In order to efficiently deliberate the General Assembly, at least half of the active members of the association must be present. If this condition is not fulfilled, the assembly must be rescheduled at a later date. The order of the day of the first meeting must be maintained without further addition or deletion of any orders.

The General Assembly
a) elects the members of the associations Administrative Council
b) examines the reports of the management of the Administrative Council regarding the financial status and the activities of the association. It approves the accountability of the previous year and votes on the present years the budget. If extra monies are available they are not, in any case, distributed among the members.
c) decides upon the order of the day
according to the status of the association If a member want to discuss an issue
not already listed on the order of the day, it can be discussed or a report can
be requested for later discussion.
Article
The resolutions of the General Assembly are accepted by the majority voice of the present and represented members. In the event of a tie, it is the voice of the President who will break the tie.
Voices are expressed by raised hand or by secret vote if the majority of the members of the Assembly or the Administrative Council are in accordance.
V Association Supervision
Article
Conforming to article
1) any changes of address of the social seat
2) all modifications affecting the composition of the Administrative Council as well as the functions of its members
3) all acquisitions or sales of buildings
4) all decisions by the General
Assembly modifying the status, (the declaration must be accompanied by the
authorization form mentioned in article #
5) all decisions by the General Assembly regarding the voluntary dissolution of the association

Conforming to article
1) the name, object and address of the social seat
2) all modifications regarding the mention
3) the decision regarding the dissolution of the association
The publication must be made during the following month, either in the publication of the Ministerial Authorization By-law or the announcement of the dissolution.
Article
Conforming to article
This register must be present during all administrative or judicial authority requisitions.
VI Dotation – Ressources annuelles
Article
The associations revenues are composed of :
4) monies generated on an occasional basis, under agreement by the competent authorities (canvassing for funds ,conference, lottery, concerts, balls, shows for profit to the association)
5) the liberties agreed by the
government according to the articles
VII Modification of the statutes
Article
The status can be modified on the recommendation of the Administrative Council or if there is a majority motion of the members of the Assembly General
As in one or another cases, the modification propositions are written in the order of the day of the next General Assembly, which must be sent to all members of the association at least eight days before the meeting is held.

The General Assembly follows the stipulations and conditions

The status can only be modified if at least two-thirds of the members or members represented are present.
VIII Dissolution-Liquidation- Repatriation of assets
Article
Voluntary dissolution can intervene :
a) when the association becomes purposeless
b) when a decision of this regard is taken by the Assembly General
Article
A General Assembly is called to pronounce the dissolution of the association. It must include at least half of the members. The dissolution can not be voted without at least the majority of two-thirds of the members or represented members present.

In the event of dissolution, the properties of the association can be liquidated either by the General Assembly or by the liquidators nominated for this specific purpose.
The properties will return to those who financed them. Monies must be allocated to a group in the Principality of Monaco that shares a similar mission statement.

For all other unanticipated cases the Administrative Council is charged with establishing internal regulation, approval and modifications by the General Assembly of the association having the majority of members or represented members present.
